Abstract | The American nonprofit sector is large, effective and influential, but with influence comes responsibility. Ethical lapses, whether real or perceived, can draw the attention of regulators and the public, leading to financial and reputational damage that can impair an organization's ability to carry out its mission. Written ethics and compliance policies, when consistently followed, can provide a first line of defense. This paper, written for nonprofit trustees and staff, outlines the major ethical issues facing U.S. nonprofits and describes policy norms and governance mechanisms designed to address them. It reviews the topics that a code of ethics should cover, including compensation, conflicts of interest, financial controls and disclosure. Compliance with applicable laws and regulations is an area of particular focus. The paper closes by describing the governance structures, including oversight by the organization's board and ongoing committee review, that form the foundation for implementation of a consistent and transparent ethics framework.
